Michael Gordon is a member of Sidley’s widely recognized M&A and Private Equity teams and represents both buyers and sellers of public and private companies. He maintains a substantial practice in mergers and acquisitions, working on domestic and global transactions for a wide variety of clients, including several large REITs and life sciences companies. He also advises clients on hostile takeovers, proxy contests and other shareholder activism campaigns.

In 2017, Michael represented Starwood Waypoint in its stock-for-stock merger-of-equals transaction with Invitation Homes. The REITs combined to form the largest single-family rental company in the United States with a portfolio of approximately 82,000 homes and a combined enterprise value of $21 billion.

He also advised FelCor Lodging Trust Incorporated in its defense of a proxy contest and hostile takeover brought by Ashford Hospitality Trust and its merger agreement with RLJ Lodging Trust, creating the third largest pure-play lodging REIT with a combined enterprise value of $7.0 billion.

In 2017, Michael also led the team that represented Denmark-based Forward Pharma in an exclusive license to Biogen of all its assets.
